These Terms govern your use of the website, AI agents, booking tools, and related services (the "Service") provided by Nova AI Studio ("Nova AI Studio", "we", "us"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Who you are contracting with

You are contracting with Nova AI Studio. If you use the Service on behalf of an organisation, you confirm that you have authority to bind that organisation. You must be of legal age in your country.

2. The Service

Nova AI Studio provides AI agents, a booking link and booking dashboard, and related tools for small businesses. Features depend on the plan you select.

3. Account and security

You must provide accurate information, keep your credentials confidential, and are responsible for activity under your account.

4. Acceptable use

You must not misuse the Service. You agree not to:

  • use the Service for unlawful, fraudulent, or harmful purposes;
  • send spam or harass others;
  • infringe intellectual property or privacy rights;
  • upload malware, probe, scan, or otherwise interfere with the Service;
  • scrape, reverse engineer, resell, or redistribute the Service;
  • circumvent technical limits, plan limits, or security features.

5. AI features and outputs

  • You are responsible for your prompts, your inputs, and how you use AI outputs.
  • You must have the rights to any content you input, and you must verify outputs before relying on them.
  • AI outputs may be inaccurate or incomplete and are not a substitute for professional advice (legal, medical, financial, etc.).
  • You must not use the Service to generate illegal content, hateful content, deepfakes, malware, or content that violates third-party rights.
  • We may filter, refuse, restrict, or remove outputs, and suspend accounts for repeated or serious violations.
  • Rights holders can request takedown of infringing content via the Contact page; repeated infringers will be terminated.

6. Your content

You keep ownership of the content you upload. You grant Nova AI Studio a limited, worldwide, non-exclusive licence to host and process your content solely to operate and provide the Service.

7. Our intellectual property

Nova AI Studio and its licensors retain all rights in the Service, including software, documentation, and branding. We grant you a limited, non-exclusive, non-transferable right to use the Service within your selected plan.

8. Payments, subscriptions, refunds and tax

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, taxes, cancellations, and refunds are governed by Paddle's Buyer Terms and our Refund Policy. Subscriptions renew automatically each billing period until cancelled.

9. Service availability

We work hard to keep the Service reliable, but we do not guarantee that it will be uninterrupted, error-free, or always available.

10. Disclaimers

To the fullest extent permitted by law, the Service is provided "as is" and we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of liability

To the fullest extent permitted by law, our aggregate liability arising out of or relating to the Service is capped at the fees you paid us in the 12 months before the event giving rise to the claim. We are not liable for indirect, consequential, special, incidental, or punitive damages, including loss of profits, data, or goodwill. Nothing in these Terms limits liability that cannot be limited by law (such as fraud, death, or personal injury caused by negligence).

12. Indemnity

You will indemnify Nova AI Studio from claims arising from your content, your use of AI outputs, your breach of these Terms, or your unlawful use of the Service.

13. Suspension and termination

We may suspend or terminate your access for material breach, non-payment, security or fraud risk, or repeated or serious policy violations. You may cancel your subscription at any time. On termination, your right to use the Service ends and we may delete your data after a reasonable period.

14. Changes to the Service or these Terms

We may update the Service or these Terms. Material changes will be notified through the Service or by email. Continued use after changes means you accept the updated Terms.

15. Governing law

These Terms are governed by the laws of the jurisdiction in which Nova AI Studio is established, without regard to conflict-of-law rules. Courts of that jurisdiction have exclusive jurisdiction, subject to any mandatory consumer rights you have where you live.

16. Assignment and force majeure

You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays caused by events beyond reasonable control.
